Job Description

As a legal officer, you will be responsible for creating a system for future business expansion, such as contracts, terms of use, and employment rules in cooperation with the business division.

[Business description] 

・ Creation of various contracts, review , revision of terms of use , internal control work ( preparation of “flowchart”, “business description”, “risk control matrix”, etc.) , legal investigation in new business, etc. 

・ Board of Directors / General meeting of shareholders / management conference / registration business / MA corresponding 

· SO exercise and amortization corresponding such as compliance strengthen in towards efforts trouble / litigation support, negotiation, etc. of a lawyer

 Currently developing business centering on Japan’s largest crowdsourcing service “Cloudworks”. It is a notable venture company, such as being listed on the TSE Mothers in 2014, just three years after the company was established in 2011.

法務担当として、事業部と連携の上、契約書や利用規約、就業規則等、これからの事業拡大に向けた体制作りの一翼を担っていただきます。

【業務内容】
・各種契約書作成、審査
・利用規約の改定
・内部統制業務（「フローチャート」「業務記述書」「リスクコントロールマトリックス」等の作成）
・新規事業等における法的調査
・取締役会／株主総会／経営会議／登記業務／MA対応
・SO行使や償却対応など
・コンプライアンス体制強化にむけた取り組み
・トラブル／訴訟対応、弁護士との折衝　等

　　発注者は約28万社、受注者は233万人を突破。
　　プロや在宅ワーカーもちろん、育児中の女性や介護者、定年退職後のシニアなどに
　　時間と場所にとらわれない新しいワークスタイルを提案し続けています。
　
2. 収益モデル
　仕事がマッチングした際の成約金額に応じた成果報酬（5〜20%）をメインに、
　大手企業向けの進行管理手数料やオプション課金などで収益を拡大しています。

3. 主要顧客
　伊藤忠商事、ヤフー、ヤマハ、TBS、クックパッド、ジョイサウンド、カヤック、ネットイヤー などの
　上場企業・大手企業の他、経済産業省をはじめとした政府6省、20以上の地方自治体も活用。

マザーズ上場から約5年以上が経過し、様々な新規事業が設立されており、またM&Aによる子会社化なども進んでおります。今後さらに社内におけるガバナンスを強化・統一化を図るため、本ポジションの採用を実施します。
